Solicitors and company law

If you have legal queries in relation to your company, there is no doubt that you should seek advice from solicitors. Company law imposes strict rules on both private and publicly limited companies. A private limited company (known as a Ltd) is one which does not have shares listed on the stock market. Most small to medium-sized businesses are likely to be private limited companies. A public limited company (known as a plc) does have their shares listed on the stock exchange. The company law rules governing plcs tend to be more onerous than those governing Ltds.

If you wish to seek advice on setting up a Ltd or a plc, you should contact solicitors. Company law considerations may have an impact on your decision. For example, both Ltds and plcs have to comply with strict filing requirements. Both must submit a number of forms to the registrar (currently Companies House) in order to incorporate as a company. They must also submit company accounts and other financial documentation to Companies House by certain dates.

Company law also strictly governs the procedures that must be followed by companies when making decisions. Examples of such decisions include the board deciding to loan money to a company director or buy land from a company director. If you require help in relation to following these procedures, it is best to seek advice from solicitors. Company law requires these procedures to be followed completely. Failure to comply with such procedures could have huge ramifications on a company.
